In the present instrument, we understand the expressions below according to the following definitions:

ECOTRACE: ECOTRACE TECNOLOGIA DA INFORMACAO LTDA., a limited liability company, enrolled in the CNPJ under no. 29.424.947/0001-01, with address at Rua Celia Polo Monteiro, nº 250, sala 03, Bairro Marambaia, Vinhedo/SP, Zip Code: 13287-004.

PLATFORM: system constituted by a Web application, offered by ECOTRACE and ECOTRACE’s property, operation and responsibility, where the USER can visualize and use the services offered by ECOTRACE.

USER: Individual or legal entity registered in the PLATFORM, which accesses and/or uses the services offered by the PLATFORM, offered by ECOTRACE.

DATA PROCESSING: Any operation carried out by ECOTRACE with the USER’s personal data, such as those that refer to its collection, production, reception, classification, use, access, reproduction, transmission, distribution, processing, filing, storage, elimination, evaluation or control of the information, modification, communication, transfer, diffusion or extraction.

This instrument regulates the conditions of adhesion for the use of the PLATFORM services, and it is a contract between USERS and ECOTRACE. The use of our services expressly indicates that you agree with all the terms and conditions contained in this instrument and with the legal provisions applicable to the species.

YOU UNDERSTAND AND AGREE THAT ECOTRACE WILL CONSIDER THE USE OF THE SERVICES AVAILABLE ON THE PLATFORM AS ACCEPTANCE OF THESE TERMS OF USE AND SERVICES AND OF ALL OTHER LEGAL PROVISIONS PERTINENT TO THE SPECIES.

BY ACCEPTING THE TERMS OF THE PRESENT INSTRUMENT, THE USER EXPRESSLY AUTHORIZES THE PROCESSING OF HIS DATA BY ECOTRACE FOR THE MAINTENANCE AND GOOD PERFORMANCE OF THE FUNCTIONALITIES OF THE PLATFORM.

THE USER HEREBY EXPRESSES THEIR COMPLETE CONSENT TO THE SHARING OF THE DATA COLLECTED AND TREATED BY ECOTRACE, IN THE TERMS OF THIS INSTRUMENT, WITH OTHER COMPANIES THAT ARE PART OF ITS ECONOMIC GROUP OR ARE ITS SERVICE PROVIDERS.

If you DO NOT AGREE with the terms set forth in this instrument, do not access, visualize, download or use in any way any ECOTRACE page, content, information or service.

ECOTRACE, through this instrument, only provides a PLATFORM to assist the USER in the control and management of its data and information relating to its link in the supply chain of which it is part. Thus, ECOTRACE’s responsibility is restricted only to the correct operation of the PLATFORM and its functionalities, as stipulated herein, and ECOTRACE does not hold any responsibility for the control and veracity of the information registered in the PLATFORM.

ECOTRACE has no relationship with the registered USERS, and ECOTRACE cannot be held responsible for any damages caused to other USERS or third parties, by acts originating from USERS during the use of the functionalities available in the PLATFORM.

At the time of registration, the USERS may use all the services available in the PLATFORM, declaring, therefore, to have read, understood and accepted all the provisions contained in these Terms of Use and Services.

The USER agrees to use the functionalities of the PLATFORM in good faith, in accordance with morals and good customs.

ECOTRACE MAY, AT ITS SOLE AND EXCLUSIVE DISCRETION, CONDITION ACCESS TO CERTAIN FUNCTIONALITIES OF THE PLATFORM TO THE PAYMENT OF PLANS. THE USER UNDERSTANDS THAT ECOTRACE, BY SENDING A PRIOR NOTICE TO THE E-MAIL ADDRESS REGISTERED ON THE PLATFORM, MAY CHARGE FOR THE USE OF THE RESOURCES AVAILABLE ON THE PLATFORM.

The USER expressly recognizes that the intellectual property rights on the ECOTRACE PLATFORM are not the object of this term and are the exclusive property of ECOTRACE, and it is forbidden to assign the rights of use to third parties outside of this term, without the prior express consent of ECOTRACE.

The USER is the only one responsible for the security of his password and the use of his account, therefore, we recommend that you do not share this information with third parties and, if this information is, for any reason, lost or hacked, the USER must immediately inform ECOTRACE, so that the appropriate measures can be taken for the case.

Only USERS are responsible for any damages caused to third parties, other USERS, the PLATFORM or ECOTRACE itself, resulting from the use of the PLATFORM functionalities.

USERS must not use the services available on the PLATFORM for any illegal, defamatory, discriminatory, abusive, offensive, pornographic, obscene, aggressive, injurious, vexatious, misleading, slanderous, violent, vulgar, harassing, threatening or using false identity purposes or any other improper use that may harm ECOTRACE, other USERS or third parties.

Under no circumstances will ECOTRACE be held responsible for any damages USERS may suffer due to the eventual unavailability of the PLATFORM. The availability of any and all services and functionality of the PLATFORM will be restricted to the availability of the PLATFORM itself, and ECOTRACE will not be held responsible for any damage caused to USERS by the possible unavailability of the PLATFORM.

The services offered by the PLATFORM are available to completely capable individuals and legal entities duly registered in the CNPJ.

For USERS to register on the PLATFORM, they will provide ECOTRACE with the following data: (i) Individual: Name, CPF, Email and Telephone number; or, (ii) Legal entity: Company name, headquarters, CNPJ number, Email and Telephone number.

The collection of the USER’s data aims to identify him/her, as well as enable him/her to use the PLATFORM correctly, and, with this, ECOTRACE will be able to ensure the good quality of the contracted services.

By consenting to the terms of this instrument, the USER expressly states that he is aware that the collection of his data is essential to the proper functioning of the PLATFORM.

It is expressly forbidden for a USER to create more than one registration on the PLATFORM. In case of multiplicity of registrations created by a single USER, ECOTRACE reserves the right, at its sole discretion, without compensation and without the need for prior consent or communication, to disable all existing registrations on behalf of this USER, and may not accept new registrations from the USER in the PLATFORM.

For the regular use of the PLATFORM, the USER must register, filling out all the data requested by the PLATFORM at the time of registration.

It is the USERS’ exclusive responsibility to provide, update and guarantee the veracity of the registration data, with ECOTRACE not being responsible for any type of civil or criminal liability resulting from untrue, incorrect or incomplete data provided by USERS.

ECOTRACE reserves the right to use all valid and possible means to identify its USERS, as well as to request additional data and documents that it considers pertinent in order to verify the informed data. In this case, the use of the PLATFORM by the USER will be conditioned to the USER sending any requested documents.

If a registration is considered suspicious of containing erroneous or untruthful data, ECOTRACE reserves the right to suspend, temporarily or definitively, without prior notice, the USER responsible for the registration. In the case of suspension, the USER will not have the right to any type of indemnification or compensation for losses and damages, lost profits or even moral damages.

The USER will access his/her account on the PLATFORM by means of a login and password, committing himself/herself not to inform third parties of these data, taking full responsibility for the use that is made of them.

The USER undertakes to immediately notify ECOTRACE, through the contact channels maintained by ECOTRACE in the PLATFORM, with respect to any unauthorized use of his/her account. The USER will be the only one responsible for the operations performed in his account, since the access will only be possible through the use of a password of his exclusive knowledge.

Under no circumstances will the USER’s account be assigned, sold, rented or transferred in any other way.

At its sole discretion ECOTRACE may exclude, disable, restrict the use of the service, suspend, block, for an undetermined period of time, without prior notice or compensation, registrations of USERS that are considered offensive, that violate the terms of this instrument or the legislation in force.

ECOTRACE reserves the right not to allow new registrations of USERS that have already been cancelled, disabled, blocked, excluded or suspended from the PLATFORM. The creation of new registrations by people whose original registrations have been cancelled, blocked, disabled, excluded or suspended for violations of ECOTRACE’s policies or current legislation will not be permitted.

ECOTRACE reserves the right, unilaterally, without prior notice, consent or compensation, to refuse any registration request from a USER in the PLATFORM, as well as cancel, disable, block, exclude or suspend the use of a previously accepted registration.

To USERS, the PLATFORM offers the option to include, edit and filter their information regarding:

1. Finishes;
2. Categories;
3. Types of Conformation;
4. Destinations;
5. Installation Locations;
6. Maturities;
7. Markets;
8. Races;
9. Types of Trading;
10. Types of Production.
11. Trading Data

As for the levels of access for USERS, they will be divided into:

(i) The USER-ADMINISTRATOR;

(ii) The USER-CONSULTANT.

Thus, the access permissions for each USER profile can be edited according to the functionality of the PLATFORM.

The USER is allowed to include data and information about his properties, where the development of the supply chain of responsibility of the Farmer takes place. In this way, he will be able to fill in different information about the property, such as: identification in agencies (registries and entries), data about the individual or legal entity that explores the property, form of exploration (agriculture and/or livestock), location and geolocation coordinates.

Furthermore, it is possible to insert data about the Industries with which it does business, and is therefore part of the supply chain of which it is part.

Finally, it is also available for the USER to use the “Romaneio” (waybill), that is, detailed reports on the negotiations already carried out with the Industries. Thus, the USER is allowed to verify statistics, quantitative and qualitative data, download files with complete information about the respective operation selected with the Industry, as well as verify and download images of animal carcasses that are part of its supply chain.

To offer the Waybill service (reports), the USER must fill out the requested data regarding the property’s operator; otherwise, the functionality may not be offered by ECOTRACE.

By providing any and all images to the PLATFORM, the USER understands and accepts that ECOTRACE may use them to improve and enhance its technology.

ECOTRACE may, at any time, without prior notice or compensation, edit and/or delete the existing functionalities, as well as include new functionalities to the PLATFORM.

ECOTRACE will provide support to PLATFORM USERS by sending a message to the email address suporte@ecotrace.info. In support requests via email, ECOTRACE undertakes to respond to messages in accordance with the SLA (Service Level Agreement) agreed between the parties. The response and delivery time on the part of ECOTRACE may vary depending on the complexity of the specific case.

The USERS accept and agree that the information registered on the PLATFORM be published and/or provided in accordance with the provisions contained herein.

USERS accept and agree that:

The data collected and treated by ECOTRACE through the PLATFORM will be stored in the servers of subcontracted ECOTRACE, whose headquarters may be outside the country.

The storage and treatment of data by ECOTRACE will last for as long as the USER’s registration remains in the PLATFORM. If the USER unsubscribes from the PLATFORM, the USER may revoke his/her consent for ECOTRACE to process his/her data. Otherwise, this consent will be considered indefinite.

Any information provided be stored in a database controlled by ECOTRACE.

The servers are owned and managed by service providers contracted by ECOTRACE.

The PLATFORM is the property of ECOTRACE, and the USER may use it according to the Terms of Use and Services available at https://ecotrace.info/en/terms-of-use/. However, the source code, the brand, the technical, design, process, reporting and other elements that help us characterize the PLATFORM are the property of ECOTRACE and must not be used by the USER in any way that is not previously authorized in writing by ECOTRACE.

ECOTRACE may use the data provided by the USER through the PLATFORM to check whether it is performing its legal duties, in order to be diligent and ensure the legality of all characters in the supply chain, which it assists through its technology.

The information collected by ECOTRACE, which the USER provides through the PLATFORM, may be used for Benchmarking. In this process, ECOTRACE, with the intention of improving its services and functionality, will carry out a comparison between the data of different USERS. In the event that any USER prefers that this operation does not occur, it should contact ECOTRACE through the channels made available by ECOTRACE.

During the validity of this instrument and after its termination or rescission, ECOTRACE undertakes to maintain the identity of the USER in absolute secrecy. This said, all the DATA PROCESSING operations that are carried out will ensure that the PLATFORM USERS are not identified to third parties.

Furthermore, ECOTRACE, in order to guarantee the traceability of the products originating from the supply chain, of which the Farmer is part, will make use of the data informed via the PLATFORM. As well as the origin of the products of the supply chain, the treatment of data relating to the geolocation of the property will also be carried out to ensure the origin of the respective products. In case of any doubts on the procedures reported above, the USER must contact ECOTRACE to resolve any questions.

The USER agrees that he/she will not do, attempt to do, or help anyone to do any type of reverse engineering or attempt to access the source code and database structure, in relation to the PLATFORM.

Comments and suggestions from USERS and VISITORS are very welcome and may generate innovations or implementations that may be incorporated into the PLATFORM, but this will not give the USER, nor the VISITOR, any kind of right over them.

Neither the USER, nor the VISITOR have and will have any property, title or direct or indirect participation in the PLATFORM, in the site or in ECOTRACE.

Even if using a computer infrastructure managed by a third party, ECOTRACE does not authorize the use of the USER’s information by the service provider.

Even if ECOTRACE chooses service providers that are world leaders in data security, ECOTRACE disclaims responsibility for any possible hacker attack or failure of security technologies that could lead to this information being exposed.

ECOTRACE protects all the USER’s personal data using standards of care that are technically and economically reasonable considering current Internet technology. The USER recognizes that there can be no expectation of total security on the Internet against the invasion of websites or other irregular acts.

ECOTRACE reserves the right to provide the USER’s data and information, as well as all the system used in the PLATFORM, to its technical team, which may be formed by ECOTRACE employees and/or by ECOTRACE outsourced, which will be responsible for managing the security and reliability of the PLATFORM and the USERS’ data.

All members of the technical team, whether employees or ECOTRACE outsourced, will sign a confidentiality agreement, declaring that they are obliged to keep all commercial, accounting, administrative, technological, infrastructural, technical information under strict secrecy, i.e., any data mutually revealed as a result of the maintenance of the operation and security of the PLATFORM. In addition, they will refrain from using them for their own benefit or for the benefit of third parties, undertaking to ensure that their partners, employees and third parties of their trust, informed of this obligation, also do so.

ECOTRACE is not authorized to provide the data registered by the USER to third parties, except in the forms stated in this instrument.

In addition, in relation to its site, available at https://ecotrace.info/, ECOTRACE reserves the right, when VISITORS make any comments, to collect the data shown on the comment form, in addition to the visitor’s IP address and browser data, to help detect spam.

Because of this, an anonymized string of characters created from the VISITOR’s email (also called a hash) may be sent to Gravatar to verify that the respective VISITOR uses the service.

It is the exclusive competence of the Justice and legal bodies of the Brazilian territory to require that ECOTRACE provide the personal data of any USER that demonstrably violates the terms and conditions herein, and the legal provisions applicable. ECOTRACE reserves the right to provide the Justice and competent legal bodies with the personal data of the USER and/or VISITORS, when so requested.

All materials, patents, trademarks, registrations, domains, names, privileges, creations, images and all rights related and related to the PLATFORM and developed by ECOTRACE, are and will remain the sole and exclusive property of ECOTRACE. In addition, the USERS agree not to perform any act or fact that in any way harms the rights provided herein, nor claim any right or privilege over them.

The USER undertakes to keep his/her registration data up to date, as well as to inform any verified modification, especially his/her payment data, as well as his/her e-mail address and telephone number, which will be the main channels of communication between ECOTRACE and the USERS.

ECOTRACE can alter this instrument at any time, simply by publishing a revised version on our site. For this reason, we strongly recommend that you always visit this section of our site, reading it periodically. However, to contribute to the good relationship, we will also send you an e-mail informing you about these changes.

This instrument constitutes the full understanding between the USER and ECOTRACE and is governed by Brazilian Laws, with the court of the city of São Paulo, state of São Paulo (SP) being elected as the only competent forum to settle issues arising from this instrument, with the express renunciation of any other forum, however privileged it may be.
